3. Consulting and Development Services

Connemara Tech provides enterprise-grade software development and IT consulting. Specific terms regarding project scope, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW) or Service Agreement signed by both parties.

3.1 Client Responsibilities

To enable the Company to perform the Services, the Client agrees to:

• Provide timely access to necessary data, systems, and personnel.
• Ensure that all materials provided to the Company do not infringe upon the intellectual property rights of any third party.
• Obtain and maintain all necessary licenses and consents required for the Company to perform the Services.

3.2 Payment Terms

Payments for Services are due as per the schedule outlined in the specific Service Agreement. Failure to pay may result in the suspension of Services. All fees are exclusive of VAT unless otherwise stated.

4. Intellectual Property

Unless otherwise specified in a written agreement, the Company retains all intellectual property rights to the pre-existing materials, methodologies, and software code used in providing the Services.

Upon full payment for specific custom development work, the Company assigns to the Client all intellectual property rights in the final custom deliverables, excluding the Company's underlying proprietary libraries and frameworks.

5. User Accounts

If you create an account on our website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. You must immediately notify us of any unauthorized uses of your account or any other breaches of security.

6. Accuracy of Information

Occasionally, there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions that may relate to service descriptions, pricing, availability, and other matters. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

You agree to indemnify, defend, and hold harmless Connemara Tech and our licensee and licensors, and our employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these terms; or c) Content posted on the Service.

If any dispute arises between you and the Company regarding the use of the Service or the provision of consulting services, we agree to attempt to resolve the dispute amicably through negotiation. If negotiation fails, the dispute shall be referred to and finally resolved by the courts of Ireland.

11. Governing Law

These Terms and Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Ireland.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

13. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease.
